Acceptance of Terms

By accessing and using RatesAgent.AI, you accept and agree to be bound by the terms and provisions of this agreement.

Description of Service

These Terms govern your use of all services, features, and functionalities provided by RatesAgent.AI, including but not limited to our application for rates intelligence and logistics data analysis, user accounts, subscription services, and our independent informational catalog of logistics providers. Any future services or features we may introduce will also be covered by these Terms.

We are not affiliated with listed companies.

Provider Rate Submissions and Use

This section applies to rates and related commercial information you provide to RatesAgent through rates@ratesagent.ai or other agreed channels after accepting these Terms ("Rate Data"). You confirm that you are authorised to provide this data and permit its use under these Terms without breaching third-party rights or confidentiality obligations.

You retain your rights in the Rate Data and grant Adexin Europe OÜ, the operator of RatesAgent, a non-exclusive, worldwide, royalty-free, perpetual licence to store, copy, extract, process, organise, analyse and publish it with identification of the service provider. This licence also permits us to use the data to operate, develop, improve and commercialise our products and services, including shipment matching, rate comparison and evaluation, statistics, forecasting, automation, and training, testing and operating AI models and systems. We may engage service providers acting on our behalf for these purposes. The licence for previously submitted data survives discontinuation of publication or our business relationship.

The service provider is responsible for the accuracy, completeness and currency of the rates and terms it submits, including validity periods, included services, surcharges and restrictions. RatesAgent may standardise data without changing its commercial meaning and may decline or discontinue publication. Rates are published for informational purposes: RatesAgent does not guarantee their accuracy, transport availability or the provider's performance. Before booking, users must confirm the final price and terms with the provider. Publication of a rate does not itself make RatesAgent a party to any transport contract. To the extent permitted by applicable law, RatesAgent is not liable for errors or omissions in provider-submitted data or for the provider's failure to fulfil its obligations.

Personal data is processed in accordance with our Privacy Policy and applicable law.

Disclaimer of Affiliation & Accuracy

• Logos, names, and trademarks are property of their owners.
• Use in the catalog is for identification only (nominative fair use).
• We make no warranties about accuracy, completeness, or timeliness of catalog data.
• Information is provided "as is"; reliance is at user's own risk.

User Responsibilities

Users agree to:

• Use the service in compliance with applicable laws
• Not disrupt or interfere with the platform
• Not gain unauthorized access
• Maintain confidentiality of account credentials
• Respect the intellectual property rights of others

Data Collected Through Forms

When you create an account, submit forms on our platform, or contact us through email or other communication channels, we process the information you provide (such as your name, company name, business email, phone number, or the content of your correspondence) as described in our Privacy Policy, including the legal bases set out there. This includes the use of such information to create and manage your account, provide you with access to the application and catalog, maintain business correspondence, and communicate with you regarding our services.

Acceptable Use Policy

It is prohibited to:

• Use catalog data for mass unsolicited marketing or spam
• Scrape, export, or resell catalog or rate data without authorization
• Misuse the platform in violation of sanctions or export control laws

Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of RatesAgent.AI and its licensors. The service is protected by copyright, trademark, and other laws.

Listed company data and logos belong to their respective owners; used for reference only.

Except as permitted by applicable law or with our authorisation, users may not copy, extract, or reuse our catalog or rate database, its structure, or its content. This does not restrict a provider's rights in its own submitted Rate Data.

Notice-and-Takedown (Catalog and Rates)

If a company requests correction or removal of published catalog or rate data, we will review and take appropriate action within a reasonable timeframe.

Termination

We may suspend or terminate your access at any time, at our sole discretion, including but not limited to cases of violations of these Terms, legal requirements, or activities that pose security, legal, or reputational risks to RatesAgent.AI. We are not obligated to provide prior notice or disclose the specific reasons for such action.

Limitation of Liability

To the fullest extent permitted by law, RatesAgent.AI shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the service or reliance on catalog or rate information, including but not limited to loss of profits, business interruption, data loss, or reputational harm even if we have been advised of the possibility of such damages.

Governing Law & Jurisdiction

These Terms are governed by the laws of Estonia. Disputes will be resolved in the courts of Estonia.

Sanctions Compliance

Our services are not available to individuals or entities in jurisdictions subject to EU, US (OFAC), UK, or UN sanctions.
